A’alda Japan K.K. (headquartered in Minato-ku, Tokyo; Kenta Tanaka, Representative Director; hereinafter “A’alda”), through its wholly owned subsidiary, A’alda Animal Hospital SPC1 Inc. (Headquarters: Iwata City, Shizuoka Prefecture; Representative Director: Katsumi Homma; hereinafter “One Health”), has acquired all shares of One Health as of January 6, 2023 (hereinafter the “Share Acquisition”).
Background of the Share Acquisition and About One Health
A’alda is developing various pet-related businesses (healthcare and lifestyle businesses), including veterinary hospitals both in Japan and overseas with the objective of “Pet to Partner – Creating a society where people and pets can live happily together.” One Health is one of the hospital groups operating veterinary hospitals in the Kanto, Tokai, Kansai, Chubu, and Kyushu (Okinawa) areas in Japan, centering on Shizuoka Prefecture, and internationally in Vietnam.
For the future development of the veterinary industry, we believe it is essential to solve industry issues from both quantity and quality perspectives, such as the shortage of services (the number of veterinarians) and the improvement of specialization and sophistication of medical technology.
A’alda will address these issues by incorporating our strengths in digital technology into the medical field. We also aim to transform the structure of the pet industry, continue to provide new value, enhance the customer experience for pets and pet owners, and thus revolutionize the veterinary industry in Asia by utilizing these approaches.
Katsumi Homma and A’alda have recently reached an agreement on the acquisition of shares over the discussions for the development and advancement of veterinary medicine and both A’alda and One Health. We believe that this acquisition will greatly advance our company’s goal of “Pet to Partner – Creating a society where people and pets can live happily together by incorporating One Health’s strong domestic and international business base and extensive network. By providing A’alda’s management resources, functions, and know-how, we aim to achieve further sustainable growth and increase corporate value as a group, and will work to provide even better services to pets and pet owners.
Outline of the Share Acquisition
In addition to the veterinary hospital business, One Health operates several other businesses. The business to be acquired by A’alda are the following businesses listed below which are based on the veterinary hospital business in Japan and Vietnam (33 hospitals in Japan and 2 hospitals in Vietnam). Therefore, the acquisition of shares is being executed after an absorption-type demerger in order to separate the businesses to be transferred.
<Steps for Absorption-Type Company Split and Share Transfer>
● One Health establishes a new company (hereinafter referred to as the “New Company”) and transfers One Health’s businesses other than veterinary hospital-related businesses (hereinafter referred to as “businesses not subject to transfer”) to the New Company through an absorption-type company split.
● A’alda will acquire all shares of One Health after the transfer of the non-transferable businesses (only limited to the veterinary hospital-related businesses).
